Data Processing Agreement

This Data Processing Agreement (“DPA”) is an integral part of the Service Agreement or Terms
of Service (the “Agreement”) between Telescope Labs Ltd. (“Data Processor”) and its
Customers (“Data Controller”), collectively referred to as the “Parties.”*
1. Purpose and Scope
1.1 This DPA sets forth the terms and conditions under which Data Processor will process
Personal Data on behalf of Data Controller in accordance with the requirements of Data
Protection Laws and Regulations.
1.2 The DPA applies to the processing of Personal Data, as defined in the Privacy Policy and AI
Terms, within the scope of the Agreement.
2. Data Processing Terms
2.1 Data Processor shall process Personal Data only for the purpose of providing the services
described in the Agreement and in compliance with the documented instructions of the Data
Controller, including with respect to transfers of Personal Data, unless required by law.
2.2 The nature, purpose, and duration of the processing, the types of Personal Data processed,
and the categories of data subjects are described in the Privacy Policy and AI Terms.
3. Rights and Obligations of the Data Controller
3.1 Data Controller shall ensure that the instructions it provides to Data Processor regarding the
processing of Personal Data comply with Data Protection Laws and Regulations.
3.2 Data Controller has the responsibility for the accuracy, quality, and legality of Personal Data
and the means by which it was obtained.
4. Security and Confidentiality
4.1 Data Processor will implement appropriate technical and organizational measures to ensure
a level of security appropriate to the risk of the processing activities, as detailed in the Privacy
Policy.
4.2 Data Processor shall ensure that any personnel authorized to process Personal Data are
committed to confidentiality.
5. Subprocessors
5.1 Data Processor may engage Subprocessors to process Personal Data, provided that such
Subprocessors agree to comply with obligations consistent with those imposed on Data
Processor under this DPA.
5.2 Data Controller will be notified of any intended changes concerning the addition or
replacement of Subprocessors and may object to such changes.
5.3 List of the Data Processors
Telescope Labs engages different types of sub processors to perform various functions as
explained below. We ensure that all sub processors are compliant with relevant data protection laws and regulations and that they adhere to the standards set forth in Telescope Labs' Privacy
Policy and Terms of Service.
Data Warehouse Services
Microsoft Corporation: Utilized as our primary data warehousing solution to store, manage,
and retrieve company data efficiently.
Marketing Services
LinkedIn Corporation: Employed for professional networking, marketing, and outreach
purposes.
HubSpot Inc. Used for marketing automation, email marketing, and customer relationship
management.
Intercom R&D Unlimited Company: Provides messaging services for marketing and customer
support communications.
Product Analytics Services
June Inc.: Assists in product analytics to understand user interactions and product usage.
Heap Inc: Provides analytics for understanding customer behavior and improving user
experience.
Google LLC: Utilized for a range of analytics and cloud services.
Product Fruit: Offers tools for product tour, feedback and analytics.
Data Pipeline Services
Fivetran Inc: Facilitates data integration and automated data pipeline services.
Amazon Web Services (AWS), Inc.: Provides a broad set of cloud-based data pipeline and
storage solutions.
Payment Service Provider
Stripe, Inc.: Processes payments, manages billing operations, and securely handles
transaction data.
Each subprocessor is carefully chosen by Telescope Labs based on their reliability and
compliance with our data protection standards. By engaging these subprocessors, we aim to
provide seamless, efficient, and secure services to our customers.
Telescope Labs maintains an up-to-date list of the names and purposes of the subprocessors
engaged. This list is subject to change as our business evolves and as we onboard new sub
processors to better serve our users.

6. Data Subject Rights
6.1 Data Processor shall, to the extent legally permitted, promptly notify Data Controller if it
receives a request from a data subject to exercise the data subject's rights under the Data
Protection Laws and Regulations.
6.2 Data Processor shall assist Data Controller in responding to such data subject requests.
7. Data Breach Notification
7.1 Data Processor will notify Data Controller without undue delay after becoming aware of a
Personal Data breach and will provide timely information relating to the Personal Data breach
as it becomes known or as is reasonably requested by Data Controller.
8. Data Transfer
8.1 Personal Data may be processed in countries outside of the European Economic Area
(EEA), provided that appropriate safeguards are implemented.
9. Termination and Deletion
9.1 Upon termination of the Agreement, Data Processor will delete or return Personal Data to
Data Controller, unless there is a legal requirement to store the data.
10. Audit Rights
10.1 Data Processor shall make available to Data Controller all information necessary to
demonstrate compliance with the obligations laid down in this DPA and allow for and contribute
to audits, including inspections, conducted by the Data Controller or another auditor mandated
by the Data Controller.
11. Governing Law and Jurisdiction
11.1 This DPA shall be governed by and construed in accordance with the laws of the United
Kingdom.
This DPA is effective upon the execution of the Agreement and replaces any previously agreed
data processing terms between the Parties

Terms, within the scope of the Agreement.
2. Data Processing Terms
2.1 Data Processor shall process Personal Data only for the purpose of providing the services
described in the Agreement and in compliance with the documented instructions of the Data
Controller, including with respect to transfers of Personal Data, unless required by law.
2.2 The nature, purpose, and duration of the processing, the types of Personal Data processed,
and the categories of data subjects are described in the Privacy Policy and AI Terms.
3. Rights and Obligations of the Data Controller
3.1 Data Controller shall ensure that the instructions it provides to Data Processor regarding the
processing of Personal Data comply with Data Protection Laws and Regulations.
3.2 Data Controller has the responsibility for the accuracy, quality, and legality of Personal Data
and the means by which it was obtained.
4. Security and Confidentiality
4.1 Data Processor will implement appropriate technical and organizational measures to ensure
a level of security appropriate to the risk of the processing activities, as detailed in the Privacy
Policy.
4.2 Data Processor shall ensure that any personnel authorized to process Personal Data are
committed to confidentiality.
5. Subprocessors
5.1 Data Processor may engage Subprocessors to process Personal Data, provided that such
Subprocessors agree to comply with obligations consistent with those imposed on Data
Processor under this DPA.
5.2 Data Controller will be notified of any intended changes concerning the addition or
replacement of Subprocessors and may object to such changes.
5.3 List of the Data Processors
Telescope Labs engages different types of sub processors to perform various functions as
explained below. We ensure that all sub processors are compliant with relevant data protection laws and regulations and that they adhere to the standards set forth in Telescope Labs' Privacy
Policy and Terms of Service.
Data Warehouse Services
Microsoft Corporation: Utilized as our primary data warehousing solution to store, manage,
and retrieve company data efficiently.
Marketing Services
LinkedIn Corporation: Employed for professional networking, marketing, and outreach
purposes.
HubSpot Inc. Used for marketing automation, email marketing, and customer relationship
management.
Intercom R&D Unlimited Company: Provides messaging services for marketing and customer
support communications.
Product Analytics Services
June Inc.: Assists in product analytics to understand user interactions and product usage.
Heap Inc: Provides analytics for understanding customer behavior and improving user
experience.
Google LLC: Utilized for a range of analytics and cloud services.
Product Fruit: Offers tools for product tour, feedback and analytics.
Data Pipeline Services
Fivetran Inc: Facilitates data integration and automated data pipeline services.
Amazon Web Services (AWS), Inc.: Provides a broad set of cloud-based data pipeline and
storage solutions.
Payment Service Provider
Stripe, Inc.: Processes payments, manages billing operations, and securely handles
transaction data.
Each subprocessor is carefully chosen by Telescope Labs based on their reliability and
compliance with our data protection standards. By engaging these subprocessors, we aim to
provide seamless, efficient, and secure services to our customers.
Telescope Labs maintains an up-to-date list of the names and purposes of the subprocessors
engaged. This list is subject to change as our business evolves and as we onboard new sub
processors to better serve our users.

6. Data Subject Rights
6.1 Data Processor shall, to the extent legally permitted, promptly notify Data Controller if it
receives a request from a data subject to exercise the data subject's rights under the Data
Protection Laws and Regulations.
6.2 Data Processor shall assist Data Controller in responding to such data subject requests.
7. Data Breach Notification
7.1 Data Processor will notify Data Controller without undue delay after becoming aware of a
Personal Data breach and will provide timely information relating to the Personal Data breach
as it becomes known or as is reasonably requested by Data Controller.
8. Data Transfer
8.1 Personal Data may be processed in countries outside of the European Economic Area
(EEA), provided that appropriate safeguards are implemented.
9. Termination and Deletion
9.1 Upon termination of the Agreement, Data Processor will delete or return Personal Data to
Data Controller, unless there is a legal requirement to store the data.
10. Audit Rights
10.1 Data Processor shall make available to Data Controller all information necessary to
demonstrate compliance with the obligations laid down in this DPA and allow for and contribute
to audits, including inspections, conducted by the Data Controller or another auditor mandated
by the Data Controller.
11. Governing Law and Jurisdiction
11.1 This DPA shall be governed by and construed in accordance with the laws of the United
Kingdom.
This DPA is effective upon the execution of the Agreement and replaces any previously agreed
data processing terms between the Parties
